Eldorado Completes Vantage Acquisition in Offshore Drilling Merger

Eldorado Drilling Limited has completed its acquisition of Vantage Drilling International Ltd. through a merger, adding Vantage’s offshore drilling assets, operating capabilities and global footprint to Eldorado’s platform.

The transaction closed at 3.00 p.m. Bermuda time on 26 June 2026. Under the merger, an indirect subsidiary of Eldorado Drilling Limited merged with and into Vantage Drilling International Ltd., with Vantage Drilling International Ltd. continuing as an indirect subsidiary of Eldorado Drilling Limited.

The combination brings together Eldorado Drilling Limited’s drillship Atlantic Zonda and Vantage Drilling International Ltd.’s asset base. Vantage Drilling International Ltd. has experience operating high-specification deepwater and jackup drilling assets under long-term operating and management arrangements.

Vantage Drilling International Ltd. contracts drilling units, related equipment and work crews primarily on a dayrate basis for oil and natural gas drilling. It serves major, national and independent oil and gas companies globally and also provides management services for third-party-owned drilling units.

Following the closing, Eldorado Drilling Limited will cause Vantage Drilling International Ltd. to apply for delisting of its ordinary shares from Euronext Growth Oslo as promptly as practicable. Required notices will be coordinated through the Oslo Stock Exchange’s NewsWeb platform in accordance with applicable rules.

Eldorado Drilling Limited is a Cayman Islands private company and owner of offshore drilling assets. It is the successor to substantially all of the business and assets of Eldorado Drilling AS following an internal reorganization conducted in connection with the merger. The company owns Atlantic Zonda, which operates in Brazil under third-party management, and has agreed to acquire Deep Value Driller in a transaction expected to close in the second half of 2026.
