Hornbeck and Helix Complete All-Stock Offshore Services Msh Article

Hornbeck Offshore Services, Inc. and Helix Energy Solutions Group, Inc. completed their previously announced all-stock merger on 1 September 2026, with the combined business taking the Hornbeck Offshore Services name.

The combined Hornbeck Offshore Services, Inc. will begin trading on the New York Stock Exchange under the ticker HOS on 2 September 2026. Helix Energy Solutions Group, Inc. common stock, previously traded under HLX, was due to cease NYSE trading at the close on 1 September 2026.

The transaction combines Hornbeck’s marine expertise with Helix’s robotics, well intervention and subsea capabilities. According to the announcement, the combined company provides marine and subsea services for customers in the deepwater oilfield, defense and renewables industries.

Todd M. Hornbeck has taken the roles of President, Chief Executive Officer and Director of the combined company. William L. Transier has become Chairman of its Board of Directors.

The executive leadership team includes R. Potter Adams as Executive Vice President and Chief Financial Officer; Scott “Scotty” A. Sparks as Executive Vice President and Chief Operating Officer – Subsea Services and Well Intervention; and Ben D. Todd as Executive Vice President and Chief Operating Officer – Marine Transportation and Specialty.

Samuel A. Giberga has been appointed Executive Vice President, General Counsel and Secretary, while Brian M. Cook is Executive Vice President and Chief Accounting Officer. Priscilla B. Heistad is Executive Vice President and Chief Human Resources Officer, and Daniel M. Stuart is Executive Vice President and Chief Commercial Officer.

Carl G. Annessa has been named Executive Vice President – Defense / Emerging Technologies, while Michael J. Nicaud is Senior Vice President, Associate General Counsel and Chief Compliance Officer.

Goldman Sachs & Co. LLC acted as financial advisor to Helix Energy Solutions Group, Inc., with Veriten LLC serving as independent strategic advisor. Baker Botts L.L.P. provided legal counsel, while Joele Frank, Wilkinson Brimmer Katcher acted as strategic communications advisor.

Barclays, Piper Sandler & Co. and J.P. Morgan served as financial advisors to Hornbeck Offshore Services, Inc. Kirkland & Ellis LLP and Jones Walker LLP acted as legal counsel.
